TERMS OF USE!

Neither Ceeker nor any providers of information make any warranties, express or implied, as to results to be obtained from use of such information, and make no express or implied warranties of merchantability or fitness for a particular purpose or use. Neither Ceeker nor any of providers of information shall have any liability for the accuracy of the information contained in the service, or the contents of any advertisements, or for assertions or omissions therein. No party shall be liable to any other party or any third-party for third-party claims or losses of any nature, including, but not limited to, lost profits, punitive or consequential damages. Ceeker reserves the right to remove any listings or any advertisements for any reason. In no case shall Ceeker be liable for any costs or events that occur beyond its control including, but not limited to, network outages, Internet connectivity problems and client side browser issues.

The following disclaimer and terms of use apply generally to all postings to the Ceeker site It is hereby also understood that any person posting to Ceeker will have been presented with this disclaimer and terms of use prior to doing so and, as such, be subject to its terms as indicated below.

Affiliate may use or display the Intellectual Property only in the size, place and manner Ceeker.com may indicate from time to time within Affiliate's web site and only in a manner that complies in all respects with Ceeker.com's guidelines as described herein or as may be modified in writing, or electronically, from time to time by Ceeker.com in its sole discretion. Affiliate acknowledges that all right, title and interest in the Intellectual Property is exclusively owned by Ceeker.com and/or its licensors, and is Ceeker.com's proprietary property, and that no right other than the limited display license granted herein is provided to Affiliate.

Ceeker.com does not accept any form of SPAM and detects/discards all traffic from unsolicited e-mail, newsgroups, ICQ, unauthorized adjustment of default home page or search features within standard browser settings and all other methods other than that generated from a human generated search. Spamming by any of these methods will cause your affiliate account to be terminated. Only one account is allowed per company or organization unless agreed to in writing by Ceeker.com, however, Affiliate may use this account for multiple domains and/or websites.

All valid clicks must be a result of a user performing a search by entering keywords into a search box or clicking on a text link. In either case, the search results displayed must exactly match the keyword phrase being searched. Affiliate agrees not to incentify a user in any way to click a Paid Listing as this will result in immediate termination of this Agreement. Affiliate may not send surfers via any 3rd party banner or exit exchange program without first being approved by Ceeker.com. Any Web page that contains a Paid Link must only be viewable after a query is made by a User. Referring URL's sent during a search quarry must contain our search box/ banners, and be a real web page providing valid content to web visitors. Page must be in English and provide something of value to visitors. Sites containing multiple search box's offering no other information are considered invalid. Hard links on web sites must be of the topic presented on the page. EXAMPLE: A hard link from a web site offering information on football, must have something to do with "football".

Ceeker Benefits:
For each person who becomes a "unique click-through to an Advertiser" as defined herein, and who has been tracked and verified by Ceeker as a "referral" to our Ceeker website from Your Website, You will receive a "referral fee" of X amount per "unique click-through to an Advertiser" dependent on the program. Ceeker reserves the right to modify members accounts due to fraudulent click activity or script errors from the Ceeker site or any of it's partners sites.

A "referral" from Your Website which entitles You to a "referral fee" shall be defined as follows:
(i) A person who has been directed to a website controlled or operated by Ceeker through the use of a banner ad or hypertext link supplied by Ceeker as part of the Affiliate Program ( hereinafter referred to as "Authorized Link") that resides on Your website and which automatically connects any person who clicks on said Authorized Link to the Ceeker website; and (ii) A person who, after having been directed to a website owned or operated by Ceeker through the use of an Authorized Link, clicks through to an Advertiser listed on Ceeker's website (hereafter defined as a "unique click-through to an Advertiser"). (iii) All referring URL's are verified to be a valid page containing our search box and logo. This page must have valid content, and provide a service to visitors other then our search box. Page must be in English, and all hard search links must be relavant to the page content. A page offering multiple search forms, or offering incentive's to search, are not permited. Any member found sending automated searches will have their accounts deleted... NO EXCEPTION!!!

All referral fees due and payable hereunder shall be payable in United States Dollars.

The referral fees payable as part of the Program shall be listed in your affiliate area located at www.ceeker.com website, and Ceeker reserves the right, in its sole and exclusive discretion, at any time to alter or modify the Program including the method and terms of all payment benefits to Participants. Any changes posted link set forth above shall be binding upon all Participants, including You, immediately upon posting said changes at that link by Ceeker. It shall be Your sole obligation to check the link to determine if there have been any changes in the Program.

Check/PayPal/iKobo Payments: Ceeker sends out checks in the mail as well as PayPal and iKobo payments. Ceeker will not be held responsible for the mail service in your area. Some countries may take longer then others to deliver mail from the United States. We GUARANTEE that if have earned valid earnings and have followed our instructions on what is required to receive a payment, that you will be paid! Members providing us invalid mailing addresses or those claiming they did't receive a check, must wait until we receive the returned check back in the mail. Cancelling a check from our bank and re-issuing you a new one is not cost effective, as it often costs more to track down and cancell a check then the check is written for in the first place. Also, often cancelling a check in the USA will not stop it from being cashed or deposited in another country. We are forced to wait for the check to be returned to us before we will send you a new one. Ceeker will at it's own discretion deposit back into a members account, any missing funds if the check is over 4(Four) months old. Ceeker will NOT resend missing checks untill the old check is returned back to us. NO EXCEPTIONS!
Ceeker also requires you to enter and keep a valid email account listed with us. We use email to verify accounts by giving out specific instructions on getting paid. Entering your personal information on our payment page is such an example. Members failing to read and follow our instructions by email, may find their pay requests cancelled!

Without limitation, Affiliate's account may be terminated, where Ceeker.com in its sole discretion, determines: (1) that any content, goods, services, or links displayed on or made available through or in connection with Affiliate's Web site(s) are illegal, obscene, indecent, vulgar, offensive, dangerous, or are otherwise deemed inappropriate; or that Affiliate or Affiliate's web site(s) violates, has violated, or threatens to violate the terms and conditions of this Agreement or the spirit behind them.
(2) We determine that affiliate is sending multiple searches/clicks in a scripted or repetitive manor.

Affiliate agrees that traffic from the following nations and regions are not allowed, and will not be paid for. All countries currently or formerly known as Afghanistan, Albania, Algeria, Andorra, Angola, Armenia, Azerbaijan, Bahrain, Bangladesh, Belarus, Belgium, Belize, Benin, Bhutan, Bolivia, Bosnia and Herzegovina, Botswana, Brunei, Bulgaria, Burkina Faso, Burundi, Cambodia, Cameroon, Central African Republic, Chad, China, Comoros, Congo, Costa Rica, Cote d'Ivoire, Croatia, Cuba, Cyprus, CzechRepublic, Denmark, Djibouti, Ecuador, Egypt, El Salvador, Equatorial Guinea, Eritrea, Estonia, Ethiopia, French Guyana, French Polynesia, Gabon, Gambia, Georgia, Ghana, Gibraltar, Greece, Guatemala, Guernsey, Guinea, Guinea-Bissau, Guyana, Hong Kong, Hungary, India, Indonesia, Aceh, EastTimor, Iran, Iraq, Israel, Italy, Ivory Coast (Cote D'Ivoire), Japan, Jordan, Kazakhstan, Kenya, Kiribati, Korea, South Kurdish, Turkey, Iraq, Iran, Kuwait, Kyrgyzstan, Laos, Latvia, Lebanon, Lesotho, Liberia, Libya, Lithuania, Macao (China), Madagascar, Malawi, Malaysia, Maldives, Mali, Mercosur, Mexico, Micronesia, Moldova, Mongolia, Morocco, Mozambique, Myanmar, Burma, Nagorno-Karabakh, Artsakh (Azerbaizan), Namibia, Nauru, Nepal, The Netherlands, Nicaragua, Niger, Nigeria, Niue, North Kore, Norway, Oman, Pakistan, Palau, Palestinian, Paraguay, Philippines, Poland, Qatar, Romania, Russia, Rwanda, Sahara, Sao Tome and Principe, Saudi Arabia, Senegal, Serbia Montenegro, Seychelles, Sierra Leone, Singapore, Slovakia, Slovenia, Somalia, South Korea, Sri Lanka, Sudan, Suriname, Swaziland, Sweden, Syria, Taiwan, Tajikistan, Thailand, Tibet, Togo, Tonga, Tunisia, Turkey, Turkmenistan, Turks and Caicos Islands, Tuvalu, Uganda, Ukraine, United Arab Emirates, Uruguay, U.S.S.R., Uzbekistan, Vanuatu, Vietnam, North Vietnam, South Western Sahara, Yemen, Yugoslavia, Zaire (Dem. Rep. of Congo), Zambia and Zimbabwe due to the nature of advertiser content seeking US based Web visitors. Members agree that a minimum of 60% of all their traffic must originate from the USA, Argentina, Canada, Australia or the UK.

All Users sent by Affiliate must come from a Web page as newsgroup postings with hyperlinks, e-mail links, ICQ, Instant Message, spamming or any other such practice that could reflect negatively on our program are strictly prohibited. Failure to comply to this request will result in the immediate cancellation of the account from which the Clicks were generated and may also result in the forfeiture of any funds owed to that account. The action of sending any hits from any URLs which contain and/or promote the following content: warez, MP3s, ROMs, EMUs, newsgroup postings, SPAM e-mails, or any other site which contains content or promotes activities which are illegal in the United States will result in the immediate cancellation of the account from which the hits were sent and the forfeiture of any funds owed to that account.

Valid Clicks Are: (IMPORTANT)
a. The action may not be initiated or executed employing any non-human processes including robots, spiders, scripts (or other software), mechanical automation of clicking applied to the user’s mouse or keyboard, or any other non-human clicking agent. Repeated searches using one search term is an indication of a text based automated search.

b. The action may not be fraudulent or appear to be fraudulent in nature according to the sole reasonable discretion of Ceeker and/or its data feed suppliers.

c. Generally clicks of the following nature will also be considered to be invalid: multiple clicks by the same user within the same second, multiple clicks by the same user on the same link within an unreasonable period of time not greater than 5 seconds, suspicious patterns of clicking by any given user (example: a user clicking on the first, second, and third link in consecutive order and in a repetitious pattern, or a user clicking on the same position consistently, while neglecting the other positions), and clicks from a previously blocked IP address(s), which has been deemed by Ceeker or it’s data feed suppliers to be a probable source of fraudulent activity.

d. CT’s based on Paid Listings that are cached or obtained via IP’s of proxy servers blocked by suppliers.

e. Referring URL's not showing in search quarry's.

f. More then 1(one) click from the same IP address within a 24(twenty four) hour period.

g. A search/click from a referring web site that does not contain our search box/banner. (xml feed suppliers excluded)

You agree that you will not upload or transmit any Content to Ceeker that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party. By submitting Content to Ceeker you automatically grant -- or warrant that the owner of such Content has expressly granted -- Ceeker the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed for the full term of any Rights that may exist in such Content.

You must evaluate, and bear the risk associated with, the accuracy, completeness or usefulness of any Content. Ceeker shall not be responsible for any Content. Ceeker does not prescreen or monitor all Content as a matter of policy, but Ceeker shall have the right, but not the responsibility, to remove Content which is deemed in sole discretion harmful, offensive, or otherwise in violation of this Agreement or any rules Ceeker has in place at the time. Ceeker may elect at its sole discretion to monitor some, all, or no areas of Ceeker for adherence to this Agreement or rules.

You expressly agree that use of Ceeker is at your own risk. Ceeker shall not be responsible to you for any content found on Ceeker . Ceeker expressly disclaims all warranties of any kind, whether implied warranties of merchantability, fitness for a particular purpose, and noninfringement. Ceeker makes no warranty that Ceeker will be timely, secure, error free, or meet your requirements; nor does Ceeker make any warranty as to the results that may be obtained from the use of Ceeker or as to the accuracy or reliability of any information obtained through Ceeker. No advice or information, whether oral or written obtained by you from Ceeker shall create a warranty not expressly made herein. You understand and agree that any content downloaded or otherwise obtained through the use of Ceeker is done at your own discretion and risk and that you will be solely responsible for any damages to your computer or loss of data that results in the downloads of such content. To the full extent permissible under the applicable law, Ceeker shall not be liable for any direct, indirect, incidental, special or consequential damages resulting from the use or inability to use Ceeker or for the cost of procurement of substitute goods and services resulting from any goods or services purchased or obtained through your use of the Ceeker search system.
